Licensing windows server 2022 standard virtual machines on vmware

Hi,

I have a confusion regarding the compliance of Windows Server 2022 STD VM Licensing. One of my customers is having 4 servers and each of them having 2 x 32 core CPU and 512GB memory. The servers are having VMware STD 8.x with HA configured between them. Now I have to create 11nos VM and among them 8 will be on Windows Server 2022 STD platform and remaining 3 will be on windows 10 LTS platform(as client). The clients will be connecting to the Win 2022 servers through remote desktop. Now client has purchased 10nos Windows Server 2022 STD ROK license for these whole activity and my confusion is if I use one full 16core ROK license for each Win 2022 server VM then actually how many Windows Server 2022 STD license I should require? Please help me as I am unable to understand this from MS Licensing Guide.

    Your confusion is understandable because Windows Server licensing in virtualized environments is often misinterpreted. Let’s break it down precisely.

    Windows Server 2022 Standard is licensed per physical host, not per VM. Each license covers 16 cores minimum, and you must license all physical cores on each server. In your case, each physical server has 2 CPUs × 32 cores = 64 cores total. That means each server requires 64 core licenses. Since Microsoft sells licenses in 16‑core packs, you need 4 packs per server. With 4 servers, that totals 16 packs of Windows Server 2022 Standard.

    Now, the important distinction: once the physical host is fully licensed with Standard edition, you are entitled to run up to two Windows Server VMs per licensed host. If you want to run more than two VMs per host, you must relicense the cores again (essentially stacking licenses). For example, if you want 8 Windows Server VMs spread across the cluster, you must ensure each host is licensed sufficiently to cover the number of VMs that may run there under HA. With VMware HA, any VM can move to any host, so every host must be licensed to cover the maximum number of VMs that could run there. That means if you want 8 Windows Server VMs in total, and they can failover to any of the 4 hosts, each host must be licensed for 8 VMs. With Standard edition, that requires relicensing the cores multiple times. Practically, this often makes Datacenter edition more cost‑effective, because once all cores are licensed with Datacenter, you can run unlimited Windows Server VMs on that host.

    Regarding your current purchase: 10 ROK licenses of Windows Server 2022 Standard (each covering 16 cores) equals 160 cores licensed. But your environment has 256 cores total (64 × 4). That means you are under‑licensed. Even if you assign one 16‑core license per VM, that is not compliant, because Microsoft does not license per VM in this way. The licensing must be tied to the physical cores of the hosts, not the VM count.

    So the direct answer: you need 16 × 16‑core licenses to cover all 4 servers with Standard edition. If you want to run more than 2 VMs per host, you must stack additional licenses. With 8 Windows Server VMs planned, Datacenter edition would be more appropriate, as it avoids the stacking requirement and gives you unlimited VM rights once the physical cores are licensed.
