Request for Clarification on OEM License Usage for Windows 11 Pro

Dear Microsoft QA Team,

I am writing on behalf of my company in Vietnam to seek clarification regarding the use of OEM licenses for Windows.

Specifically, we are considering using the License Microsoft Windows 11 Pro 64Bit Eng Intl 1pk DSP OEI DVD for computers that are already in use. However, the invoice date for the computer purchase is earlier than the invoice date for the OEM license purchase. Could you please confirm whether this scenario is considered valid under Microsoft’s licensing policy?

If this is not valid, we would like to ask further: if our company purchases a new mainboard and simultaneously acquires an OEM license (either purchased beforehand or at the same time as the mainboard), would activating Windows on this system be considered legitimate and compliant with Microsoft’s licensing terms?

We kindly request a clear written response so that our company can ensure compliance with Vietnamese law and avoid any complications during copyright inspections.

    However, for legal compliance purposes in Vietnam, we kindly request an official confirmation from a Microsoft employee. This confirmation will serve as a formal reference for our company when dealing with copyright inspections.

    Specifically, we would like to confirm whether the use of an OEM license (Microsoft Windows 11 Pro 64Bit Eng Intl 1pk DSP OEI DVD) is valid in the following scenarios:

    • When the computer invoice date is earlier than the OEM license purchase date.
    • When our company purchases a new mainboard and an OEM license either beforehand or on the same day as the mainboard purchase.

    We would greatly appreciate a written response from Microsoft staff to ensure our company’s compliance with both Microsoft’s licensing terms and Vietnamese law.

    Under Microsoft's licensing terms, purchasing a standalone Windows 11 Pro OEM DSP OEI license for a pre-existing computer is not legally valid if the hardware invoice predates the license invoice. OEM licenses must be acquired either pre-installed by the manufacturer or simultaneously with the fully assembled computer system.

    About your second scenario, the situation is more complicated, it is valid if the motherboard be installed as part of a fully new computer system (including a CPU, power supply, RAM,...). And the invoice date for the motherboard matches (or falls within the same timeframe as) the OEM license purchase. *Also when you activate that Windows 11 Pro OEM license on the new mainboard, it is permanently locked to that specific board's unique hardware ID. The license can never be transferred to another computer or used if you choose to upgrade the motherboard in the future.

    *For computers that are already in use without a qualifying base Windows license, the most straightforward and fully compliant option from a licensing and copyright audit perspective is to purchase a Windows 11 Pro Retail license, which provides transfer rights and does not have the same hardware-binding restrictions as an OEM license.
